JA Hockey Ventures, Inc., offers a range of acquisition services depending on the objectives of the client, including:

1. Contingency Fee Search. In consideration for an initial fee, refundable upon closing, and an exclusive engagement, JA Hockey Ventures, Inc., accepts selected projects to search for acquisitions in the San Francisco Bay Area on a contingency fee basis. Commissions are typically, although not always, paid as a closing obligation of the Seller, and established as part of the introduction agreement granting JA Hockey Ventures, Inc., written permission to introduce the Buyer.
   
   
2. Retained Search. In consideration for an exclusive engagement, and:
   • An initial fee,
   • Monthly consulting fees and
   • Expense reimbursement,
   All of which are refundable upon closing, JA Hockey Ventures, Inc., accepts selected projects to search for acquisitions throughout the United States on a contingency fee basis. In this situation, commissions would be the responsibility of the Buyer upon closing.
   
   
3. Mergers and Acquisition Consulting. Either in conjunction with one of the previous services or as a standalone consulting assignment, JA Hockey Ventures, Inc., can assist Buyers with:
   • Initial analysis of a potential acquisition
   • Deal structuring, contract review, analysis, and negotiations
   • Business valuations
   • Detailed acquisition financial analysis, including historical analysis, Performa analysis and business planning
   • Arranging debt financing and, occasionally, equity financing

Registration
Some buyers are at an early stage in their acquisition process and other desire to conduct an independent search for investment opportunities. We maintain an extensive database of potential buyers, so please contact us such that we may have a confidential discussion regarding yours needs, so that we may open a file for you. It's a good idea to take the registration step at a minimum, which incurs no obligation on your part or ours, but which at least gives us some initial insight into the type of opportunities, which we might be able to direct your way.

Consulting
If you locate a business that you would like to acquire, JA Hockey Ventures, Inc., can help you on an hourly fee basis to evaluate the company and develop, with your input, a draft letter of intent or purchase agreement using our standard forms for you to take for legal and accounting review. Our consulting services can be a very cost effective way to get some market savvy perspective on your potential acquisition.

Acquisition Search
If you are serious about making an acquisition in a timely fashion, this option is the most effective way to locate and acquire a small manufacturing, distribution, and sales or business services company in the Bay Area. Under this option, we work with you to develop useful acquisition criteria, conduct a proactive search, bring you deals to consider, and then help you and the seller consummate the transaction. Very few business intermediaries in America, let alone the Bay Area, have expertise in acquisition search. Most brokers and intermediaries prefer working for sellers, and do not work proactively on behalf of buyers.
